1. Who We Are
1.1. These Terms and Conditions (“Terms”) apply to www.syndi.co.uk and the Syndi mobile / web applications (collectively, the “Website” or “App”), which are owned and operated by Syndi App Ltd. By accessing or using our Website or App, you agree to be bound by these Terms. If you do not agree, please do not use the Website or App.
1.2. Company Details: We are Syndi App Ltd, trading as “Syndi”, a company registered in England and Wales under company number 16472191 with its registered office at Flat 79 Marlborough, 61 Walton Street, London, England, SW3 2JY.
1.3. When we refer to our website, this means the website owned and operated by Syndi at www.syndi.co.uk.
1.4. References to “Syndi”, “we”, “us”, or “our” mean Syndi App Ltd.
2. Background
2.1. Syndi App Ltd is a syndicate organiser and manager operating a digital platform that enables users in the United Kingdom to take part in group lottery participation. Syndi manages administration including collecting participation fees, purchasing official lottery entries, and distributing verified winnings.
2.2. As the Syndicate Manager, Syndi is responsible for:
- Managing the creation and administration of Community and Private Syndicates
- Handling participant funds securely through the Syndi wallet system
- Purchasing official UK lottery tickets on behalf of each Syndicate
- Receiving, verifying, and distributing winnings according to each user’s share
- Carrying out identity, age, location, and AML checks as required by law
- Ensuring Syndicate operations are fair, transparent, and compliant
3. Scope and Agreement
3.1. These Terms form a legally binding agreement between you and Syndi App Ltd when you use our services, register an account, or access our Website or App.
3.2. By using our services, you accept these Terms.
3.3. If you do not agree, you must stop using our services immediately.
3.4. We may update these Terms from time to time. If changes are material, we will notify you via email, in-app message, or website notice. Continued use constitutes acceptance of the updated Terms.
4. Services
4.1. Syndi provides syndicate management services (“Syndicate Services”) allowing users to participate in group entries (“Syndicates”) for lottery tickets purchased from approved lottery operators.
Participation types:
- Community Syndicate: Automatically grouped with up to 10 users
- Private Syndicate: Created or joined within a private group
4.2. Please refer to the “How Syndi Works” document for operational details.
4.3. We act as Syndicate Manager. All tickets are owned and managed by Syndi App Ltd. Users hold beneficial entitlement to their proportional share of confirmed winnings.
4.4. Subscription Participation
Participation operates on a subscription basis.
When subscribing, you select:
- The lottery game
- The draw day
- Number of Syndicates (Community) or lines (Private)
Weekly cycle: Sunday 00:00 to Saturday 23:59.
You may cancel at any time. Cancellation applies to future weeks only.
Each Community Syndicate consists of 10 members holding equal 10% shares.
Private Syndicates vary in size and allocation as displayed before joining.
4.5. Ticket numbers are system-generated.
4.6. Refunds apply only if a syndicate cannot be completed or a draw is cancelled.
4.7. Confirmation of purchases and winnings will be provided in your account or by email.
4.8. Deposit and participation limits apply as stated in the App.
4.9. In case of inconsistency, these Terms take precedence over other documents.
5. Subscription, Cancellation and Fees
5.1. Subscriptions operate on a monthly billing cycle and are charged monthly in advance.
5.2. Adjustments to draws or lines will result in fee differences charged or refunded via wallet/payment method.
5.3. Fees consist of:
- Your share of ticket costs
- Syndi’s management fees
5.4. You may cancel or change subscriptions in “My Games”.
5.5. If cancelled:
- Current week entries proceed
- No further payments are taken
- Prorated funds are refunded to your wallet
- No cancellation fees apply
6. Winnings
6.1. Only Syndi App Ltd (or authorised agent) may collect winnings.
6.2. Payment is subject to:
- Receipt of prize funds
- Completion of compliance checks
- Accurate account information
6.3. Winnings are deposited into your wallet as soon as practicable.
6.4. Winnings are distributed proportionally. Amounts over £50,000 may require additional verification.
6.5. No fees are charged on winnings. Free ticket prizes are converted to their monetary equivalent.
7. Eligibility and Accounts
When registering, you confirm:
- You are 18+
- Registration details are accurate
- You are legally capable of contracting
- You understand risk of loss
- You act on your own behalf
We may conduct identity, sanctions, AML, and affordability checks at registration and periodically thereafter. Failure may result in suspension or termination.
We may provide your details to authorised verification agencies.
We may apply spending limits or suspend accounts for security, compliance, or misuse.
8. Payment and Limits
Accepted methods: UK-issued Visa and Mastercard debit cards.
Payments processed securely. Syndi does not store full card details.
- Maximum weekly spend: £500
- Wallet withdrawals permitted subject to thresholds and verification
- No interest paid on wallet balances
- Chargebacks may result in suspension
- Refunds issued for technical or operational errors
9. Dormant Accounts
Accounts inactive for 365 days may be deemed dormant. After five years of no response, balances may be donated to a UK charity. Funds remain reclaimable.
10. User Conduct and Security
You must not:
- Misuse your account
- Attempt unauthorised access
- Upload unlawful content
- Use bots or automated tools
Enable 2FA and use a strong password. Syndi is not responsible for losses due to user negligence.
11. Intellectual Property
All platform content is the property of Syndi App Ltd or licensors.
You are granted a personal, non-commercial, non-transferable licence to use the Website and App solely for participation in services.
12. Location, KYC and Restrictions
Participation is permitted only while physically located in the UK.
Failure to verify location or identity may result in suspension or termination.
13. Liability
Services are provided “as is”.
Liability is limited to the greater of:
- £5,000
- Total value of paid syndicate entries related to the issue
We are not liable for indirect losses, technical faults, or third-party failures.
Nothing limits liability for death, injury, or fraud caused by negligence.
Statutory rights remain unaffected.

Disputes fall under courts of England and Wales.
15. Changes to These Terms
We may revise these Terms for legal or operational reasons.
Material changes will be notified.
Continued use constitutes acceptance.

17. Governing Law
Governed by English law.
Disputes heard in courts of England and Wales.
No third-party rights under the Contracts (Rights of Third Parties) Act 1999.
Force majeure applies.
